Welcome to UpRiver Education.
These Terms of Service (“Terms”) govern your access to and use of UpRiver Education’s websites, the UpRiver Learning professional learning platform, courses, communities, resources, events, and related online services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If your access is provided through your school district, educational institution, employer, or another organization, additional terms between UpRiver Education and that organization may also apply.
1. About Our Services
UpRiver Education provides professional learning, consulting, coaching, resources, courses, communities, and related services primarily for educators and educational organizations.
UpRiver Learning is a professional learning platform designed for educators and other adult professionals. It is not a student-facing educational platform, and students are not intended to create accounts or directly use UpRiver Learning.
Professional learning content and recommendations provided through the Services are intended to support professional judgment and practice. They do not replace the policies, requirements, or professional decision-making of individual schools, districts, educational agencies, or users.
2. Accounts and Access
Some Services require an individual user account.
You agree to provide accurate information when creating or using an account and to take reasonable steps to protect your login credentials. Accounts are intended for individual use and may not be shared with others.
Access to certain Services may depend on an active individual registration, membership, subscription, course enrollment, or agreement between UpRiver Education and a school district or other organization.
If your access is provided through an organization, your eligibility to use certain Services may change when your relationship with that organization changes or when the organization’s subscription or agreement with UpRiver Education ends.
UpRiver Education may establish reasonable limits on the number of users, seats, courses, resources, or other features available under a particular subscription or agreement.
3. District and Organizational Access
Schools, districts, educational agencies, and other organizations may purchase access to UpRiver Learning or other Services for designated employees.
Unless otherwise stated in an applicable agreement, access provided through an organizational subscription is limited to the number of active users or seats purchased by that organization.
Organizations may reassign access when staffing changes, subject to the terms of their agreement with UpRiver Education.
UpRiver Education may provide authorized organizational representatives with appropriate information about their users’ enrollment, participation, completion, professional learning hours, or related activity.
4. Appropriate Use
You agree to use the Services for lawful, professional, and educational purposes.
You may not:

Share your account credentials or permit another person to use your account;

Attempt to gain unauthorized access to the Services or another user’s account;

Interfere with the security, functionality, or operation of the Services;

Use the Services to distribute unlawful, threatening, harassing, discriminatory, defamatory, or otherwise harmful material;

Upload or distribute material that infringes the intellectual property or privacy rights of others;

Copy, reproduce, distribute, publish, sell, license, or commercially exploit UpRiver Education content except as expressly permitted;

Use automated systems to scrape, download, extract, or reproduce substantial portions of the Services or their content; or
-
Use the Services in a manner inconsistent with these Terms or applicable law.
5. Student Information
UpRiver Learning is designed for staff professional learning and does not require personally identifiable student information.
Users should not upload, post, submit, or otherwise provide personally identifiable student information through UpRiver Learning.
This includes student education records, identifiable student work, assessment reports, individualized education programs (IEPs), student identification numbers, or other information that could reasonably identify an individual student.
When discussing classroom situations, student learning, instructional challenges, or examples through professional learning activities or community discussions, users should remove names and other identifying information and use appropriately de-identified examples.
If UpRiver Education becomes aware that personally identifiable student information has been inadvertently submitted, we may remove the information and take other reasonable steps consistent with our Privacy Policy and applicable agreements.
6. Community Participation and User Content
Some Services may allow users to participate in discussions, cohorts, communities, live sessions, comments, assignments, reflections, or other collaborative activities.
You retain ownership of original content you submit through the Services.
By submitting content, you give UpRiver Education permission to host, display, reproduce, and otherwise use that content as reasonably necessary to operate and provide the Services.
You are responsible for ensuring that content you submit does not violate another person’s intellectual property, confidentiality, privacy, or other rights.
Participation in UpRiver Learning communities should reflect professional and respectful interaction. UpRiver Education may remove content or restrict participation when reasonably necessary to protect users, maintain a productive professional learning environment, enforce these Terms, or comply with applicable law.
7. UpRiver Education Content and Intellectual Property
Unless otherwise indicated, the courses, videos, presentations, frameworks, learning activities, graphics, text, templates, tools, downloadable resources, and other materials made available through the Services are owned by or licensed to UpRiver Education and are protected by applicable intellectual property laws.
Your access to the Services gives you a limited, non-exclusive, non-transferable right to use these materials for your own professional learning and professional practice, subject to any additional permissions stated with a particular resource.
Unless UpRiver Education expressly provides otherwise, purchasing or receiving access to a course, membership, resource, or subscription does not transfer ownership of the underlying intellectual property.
You may not reproduce, republish, distribute, sell, sublicense, upload to another platform, or create commercial products from UpRiver Education materials without permission.
Nothing in these Terms is intended to prevent educators from applying ideas, strategies, approaches, or learning from UpRiver Education in their own professional practice.
8. Certificates, Professional Learning Hours, and Credentials
UpRiver Education may provide records of participation, professional learning hours, certificates, badges, microcredentials, or other recognition associated with completion of eligible professional learning activities.
Requirements for earning particular recognition may vary by program.
Users and educational institutions are responsible for determining whether a particular UpRiver Education offering satisfies state, district, licensing, certification, salary advancement, continuing education, or other professional requirements unless UpRiver Education expressly states otherwise.
9. Purchases, Subscriptions, and Payments
Fees, subscription periods, cancellation terms, renewal terms, seat quantities, and other purchasing conditions may be established through an order form, proposal, invoice, registration page, contract, or other agreement.
Where such an agreement exists, its specific purchasing terms govern the applicable purchase.
Except as otherwise stated in an applicable agreement or required by law, fees paid for Services are subject to the cancellation and refund terms communicated at the time of purchase.
10. Third-Party Services
The Services may use or link to third-party technology, websites, applications, or service providers.
Use of certain third-party services may be subject to their own terms and privacy practices.
UpRiver Education is not responsible for independently operated third-party websites or services, although we select service providers that support the operation of our Services with consideration for privacy, security, and functionality.
11. Privacy
Your use of the Services is also subject to the UpRiver Education Privacy Policy, which describes how we collect, use, disclose, and protect personal information.
When UpRiver Education has entered into a Data Privacy Agreement or National Data Privacy Agreement (“DPA” or “NDPA”) with an educational institution, information governed by that agreement will be handled in accordance with the agreement.
If an executed DPA, NDPA, organizational agreement, or other applicable written agreement conflicts with these Terms regarding information or Services governed by that agreement, the applicable written agreement will control to the extent of the conflict.
12. Availability and Changes to the Services
We work to maintain reliable access to the Services but do not guarantee that all Services will be available without interruption or error.
UpRiver Education may update, modify, add, or discontinue features or content as our Services evolve.
For paid organizational subscriptions or contracted Services, material changes will remain subject to applicable contractual commitments.
13. Suspension and Termination
UpRiver Education may suspend or restrict access to the Services when reasonably necessary because of:

Violation of these Terms;

Unauthorized use or sharing of an account;

Security concerns;
-
Nonpayment of applicable fees;

Expiration or termination of the subscription or agreement providing access; or
-
Conduct that materially interferes with the Services or other users.
Where reasonable under the circumstances, we will attempt to address issues before permanently terminating access.
Termination of access does not transfer or eliminate UpRiver Education’s intellectual property rights or obligations that reasonably survive termination.
14. Disclaimer of Warranties
The Services are provided on an “as available” basis to the extent permitted by applicable law.
UpRiver Education works to provide high-quality, accurate, and useful professional learning but does not guarantee specific educational, professional, organizational, or student outcomes resulting from use of the Services.
Professional learning materials and recommendations should be considered together with users’ professional judgment, local context, applicable policies, and legal requirements.
15. Limitation of Liability
To the extent permitted by applicable law, UpRiver Education will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of the Services.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
Any additional limitations of liability contained in a written agreement between UpRiver Education and an educational institution or other organization will apply to Services governed by that agreement.
16. Indemnification
To the extent permitted by applicable law, users agree to be responsible for claims or losses arising from their unlawful use of the Services, violation of these Terms, or infringement of the rights of another person.
This provision does not supersede different indemnification terms contained in an applicable written agreement between UpRiver Education and an educational institution or organization.
17. Changes to These Terms
We may update these Terms periodically as our Services evolve or legal or operational requirements change.
When we make changes, we will update the “Last Updated” date above. Material changes will be communicated when appropriate.
Changes to these Terms will not override an existing written agreement with a school district, educational institution, or other organization during the applicable agreement period unless permitted by that agreement.
18. Governing Law
Unless otherwise provided in an applicable written agreement, these Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.
An agreement between UpRiver Education and a school district, educational institution, or other organization may establish different governing law or dispute-resolution requirements for that relationship.
